1. INTRODUCTION

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Mashini Investments Ltd. ("Company," "we," "us," or "our"), a company registered in England and Wales. By accessing our website, creating an account, or purchasing a subscription, you agree to be bound by these Terms.

2. NATURE OF SERVICES (NO ADVICE)

  • 2.1 Research Tool Only: The services and data provided are strictly for research and informational purposes. We do not provide financial, legal, tax, or investment advice.
  • 2.2 No Fiduciary Relationship: Your use of the platform does not create an advisor-client or fiduciary relationship.
  • 2.3 AI Risk Disclosure: Any risk scores, ratings, or classifications generated by the platform are subject to the AI Risk Scoring Disclosure, which is incorporated by reference into these Terms.
  • 2.4 Data Accuracy: You acknowledge that the data is generated by automated systems and third-party feeds. We do not guarantee that the data is error-free, complete, or reflective of real-time market conditions. Use of the data is entirely at your own risk.

3. ACCOUNTS AND SUBSCRIPTIONS

  • 3.1 Credentials: You are responsible for maintaining the confidentiality of your login credentials. You may not share your account access with third parties.
  • 3.2 Subscriptions & Payments: Paid subscriptions are billed in advance on a recurring monthly basis. You authorize us to charge your payment method via our third-party payment processors for all applicable fees.
  • 3.3 Cancellation: You may cancel your subscription at any time via your account settings. Cancellation takes effect at the end of the current billing cycle.
  • 3.4 Refunds: All fees are non-refundable. We do not provide refunds or credits for partial months or unused services.

4. INTELLECTUAL PROPERTY & USE RESTRICTIONS

  • 4.1 License: We grant you a limited, non-exclusive, non-transferable license to use the data for your internal business or personal research.
  • 4.2 Prohibited Acts: You agree NOT to: (a) Use any automated system ("robots," "spiders") to access the website; (b) Resell, redistribute, or sub-license the data; (c) Reverse engineer the scoring algorithms; (d) Use the data to build a competing product.
  • 4.3 Termination: We reserve the right to terminate your account immediately if you violate these restrictions.

5. USER DATA

  • 5.1 Uploads: If you upload data (such as portfolio holdings) to the platform, you retain all ownership rights to that data.
  • 5.2 License to Process: You grant the Company a license to process your uploaded data solely for the purpose of providing the Services to you.

6. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of your use of the Services, your violation of these Terms, or your misuse of the Data.

7. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, or goodwill. Our total liability for any claim shall not exceed the amount you paid to us in the 12 months preceding the claim.

8. EDITORIAL INDEPENDENCE & CONTENT DISCLAIMER

  • 8.1 Protected Opinion: The Company produces and publishes analytical content, classifications, scores, and commentary generated through automated models and data-driven methodologies (collectively, “Analytical Content”). You acknowledge that all Analytical Content constitutes protected opinion, analysis, and research, not statements of objective fact.
  • 8.2 No Implied Misconduct: The inclusion, exclusion, ranking, scoring, or classification of any entity, asset, issuer, or financial instrument does not imply wrongdoing, misrepresentation, misconduct, or deficiency by such entity. We do not provide guarantees regarding the reputation, quality, financial condition, or future prospects of any entity referenced.
  • 8.3 Defamation Waiver: To the fullest extent permitted by law, you hereby waive any claim against the Company for defamation, trade libel, injurious falsehood, or reputational harm arising from the publication, display, or use of Analytical Content.
  • 8.4 No Commercial Endorsement: Nothing in the Services constitutes commercial speech or promotional endorsement of any issuer. All Analytical Content is provided as non-advisory, editorial analysis.

9. NO OBLIGATION TO REMOVE CONTENT

  • 9.1 Right to Publish: Except where required by applicable law or a final court order, the Company has no obligation to remove, alter, correct, or retract any Analytical Content upon request by any third party, including issuers or subjects of analysis.
  • 9.2 Sole Discretion: The Company reserves the exclusive right to determine the content, presentation, methodology, and availability of its Analytical Content, including whether to modify, suspend, or discontinue coverage of any entity at its sole discretion. We are under no obligation to provide a right of reply or dispute resolution mechanism to any third party referenced in the Analytical Content.

10. FORCE MAJEURE

The Company shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including but not limited to acts of God, internet outages, denial of service attacks, regulatory changes, or third-party infrastructure failures.

11. GOVERNING LAW

These Terms shall be governed by the laws of England and Wales. You agree to submit to the exclusive jurisdiction of the courts of England and Wales.
